Terms of Service

These Terms of Service ("Terms") govern your access to and use of VetLevel, an AI-powered veterinary practice management platform operated by TPH Business Consultancy Services ("we," "our," or "us").

By accessing or using VetLevel, you agree to be bound by these Terms. If you do not agree to these Terms, do not use VetLevel.

1. Agreement to Terms

By using VetLevel, you affirm that:

• You are at least 18 years old
• You have the authority to enter into this agreement on behalf of your veterinary practice
• You will comply with all applicable laws and regulations
• All information you provide is accurate and current

2. Service Description

2.1 What VetLevel Provides

VetLevel is an AI-powered platform that currently includes:

• AI Chat Assistant: Automated responses to Facebook inquiries and appointment booking
• Comment Moderation: Automated responses to Facebook comments
• Auto-Posting: AI-generated and scheduled content for your Facebook page

2.2 What VetLevel Does NOT Provide

• Veterinary medical advice or diagnosis
• Emergency veterinary services
• Guaranteed uptime or availability
• Legal or compliance advice

2.3 Service Availability

We strive for high availability but do not guarantee uninterrupted service. Planned maintenance, updates, and unforeseen issues may cause temporary downtime.

3. Account Requirements

3.1 Who Can Sign Up

• Licensed veterinary practices in the United States
• Veterinarians with valid professional licenses
• Authorized representatives of veterinary clinics

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access
• Using strong passwords and enabling multi-factor authentication when available

3.3 User Responsibilities

• Provide accurate and current information
• Update account information promptly when it changes
• Maintain compliance with veterinary practice regulations
• Review AI-generated content before it's posted (when using manual approval mode)

4. Pricing & Payment

4.1 Subscription Fees

4.2 Payment Terms

• Subscription fees are billed monthly in advance
• Setup fee is due upon signup (or as per payment plan)
• All fees are non-refundable unless otherwise stated
• Late payments may result in service suspension

4.3 Auto-Renewal

Your subscription automatically renews each month unless you cancel with 30 days notice. You will be charged the then-current monthly rate.

4.4 Payment Failure

If payment fails:

• We will attempt to process payment up to 3 times
• You will receive email notification of failed payments
• Service may be suspended after 10 days of non-payment
• Account may be terminated after 30 days of non-payment

5. Acceptable Use Policy

You agree NOT to:

• Use VetLevel for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Infringe on intellectual property rights of others
• Transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to VetLevel systems
• Reverse engineer, decompile, or disassemble the platform
• Use the platform to send spam or unsolicited communications
• Resell or sublicense VetLevel without written permission
• Use the platform in a way that violates Facebook's Terms of Service

6. Intellectual Property

6.1 VetLevel Owns the Platform

All rights, title, and interest in VetLevel (including software, algorithms, design, trademarks) remain with TPH Business Consultancy Services.

6.2 You Own Your Data

You retain ownership of all patient records, client information, and clinic data you input into VetLevel.

6.3 AI Training Data Usage

You grant us permission to use anonymized data from your account to:

• Train and improve AI models for veterinary-specific conversations
• Enhance platform features and accuracy
• Conduct research and development

7. Limitation of Liability

7.1 No Warranties

We do not warrant that:

• VetLevel will be uninterrupted or error-free
• AI responses will always be accurate or appropriate
• The service will meet your specific requirements
• Data transmission will be secure or uncorrupted

7.2 Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid in the 12 months prior to the claim
• We are not responsible for lost profits, lost data, or business interruption

7.3 Third-Party Integrations

We are not responsible for:

• Facebook API changes, outages, or policy violations
• Third-party service failures or data breaches
• Actions taken by payment processors

8. Termination

8.1 You Can Cancel Anytime

You may cancel your subscription:

• By providing 30 days written notice
• Through your account dashboard
• By contacting customer support

Upon cancellation, you retain access until the end of your current billing period. No refunds for partial months.

8.2 We Can Terminate For Cause

We may suspend or terminate your account if:

• You violate these Terms
• Your payment fails for 30+ days
• Your use violates applicable laws
• Your account is used for fraudulent activity

8.3 Data Export Upon Termination

Upon termination:

• You have 30 days to export your data
• After 30 days, we may delete your data
• Backup data may persist for up to 90 days

9. Dispute Resolution

9.1 Governing Law

These Terms are governed by the laws of the Republic of the Philippines.

9.2 Dispute Process

Before filing any legal action, you agree to:

• Attempt to resolve the matter informally within 30 days

10. Changes to These Terms

We may update these Terms from time to time. When we do:

• We will update the "Last Updated" date at the top
• We will notify you via email for material changes
• Continued use after changes constitutes acceptance
• If you don't agree to changes, you may cancel your subscription

11. Miscellaneous

11.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and TPH Business Consultancy Services.

11.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

11.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

11.4 Assignment

You may not assign or transfer these Terms. We may assign our rights and obligations to any party without notice.
